All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of India.

Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to the same. Unless otherwise stated, the Company and/or it’s licensors own the intellectual property rights for all material on the Company. All intellectual property rights are reserved. You may view and/or print pages from the Platform for your own personal use subject to restrictions set in these terms and conditions.

You must not:

(a) Republish material from the Platform

(b) Sell, rent or sub-license material from the Platform

No use of Bijnis logo or other artwork will be allowed for linking absent a trademark license agreement. We reserve the right at any time and in its sole discretion to request that you remove all links or any particular link to our Platform. You agree to immediately remove all links to our Platform upon such request. We also reserve the right to amend these terms and conditions and its linking policy at an time. By continuing to link to our Platform, you agree to be bound to and abide by these linking terms and conditions.

Removal of links from our website

Obligations, Covenants and Warranties of Client

(a) Your business is validly existing and incorporated / established as per the provisions of applicable laws.

(b) You shall comply with all applicable laws while using and accessing the Platform.

(c) any order and / or user content that you submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secrets or any other personal or proprietary rights of any third party.

(d) You acknowledge that we reserve the right to evaluate (i) the information provided by you regarding yourself on or through the Platform; and (ii) the business license; provided by you to confirm its authenticity, post which you shall be permitted to use the Platform.

(e) You shall notify us immediately if any information furnished by you, as part of the on-boarding process, changes, including but not limited to, any change in business address, contact number, change of authorized representatives, suspension/cancellation of the business license, discontinuation of business, etc.

(f) You acknowledge that you are required to complete the onboarding process within before placing any order, and that you hold:

(i) a sales tax or VAT registration or service tax or excise duty or Goods and Services Tax (GST) registration; or

(ii) trade licenses i.e., a license/registration certificate/membership certificate/registration under Shops and Establishment Act, issued by a Government Authority/Government Body/Local Self-Government Authority, reflecting that the entity/person holding the license/ registration certificate/ membership certificate, as the case may be, is itself/ himself/herself engaged in a business involving commercial activity;

(iii) permits/license etc. for undertaking retail trade from Government Authorities or Local Self Government Bodies; or

(iv) certificate of incorporation or registration as a society or registration as public trust for their self-consumption.

(g) You acknowledge that the Company has the right to obtain any of the above document(s) from You within 2 months of your registration on the Platform.

(h) You will not use or access the Platform for your personal purposes / consumption and any products that You purchase shall be solely for the purposes of resale, trade, business, institutional, industrial, and / or any other commercial purposes and not for personal consumption.

(i) You acknowledge that we do not have any control or do not determine or advise or in any way involve ourselves in the offering or acceptance of such commercial terms between the you and the seller on our Platform. At no time shall we hold any right, title or interest over the products (unless sold by us). Provided this condition is applicable in the event Bijnis is not a seller on the Platform.

(j) You shall, at all times, ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules thereunder as applicable and as amended from time to time and also all applicable laws, rules and regulations including the provisions of foreign exchange laws and regulations. You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable laws including foreign exchange laws or regulations for the time being in force.

(k) You shall provide your consent for the purchase of any products or services offered on our Platform where such consent is expressed through an explicit and affirmative action (automatically, including in the form of pre-ticked checkboxes), and the you shall also provide a written confirmation that (i) you are duly registered under applicable law as a business entity and qualify as a “business customer” as per the “Guidelines for Cash & Carry Wholesale Trading” FDI Policy; (ii) you have procured adequate statutory registrations including without limitation, its GSTIN and PAN.

(l) You may be required to promptly furnish additional documents or information as and when requested by Bijnis to continue using and accessing the Platform and availing the services. You agree to promptly provide such additional documents and information.

Content Liability

We shall have no responsibility or liability for any content appearing on your website. You agree to indemnify and defend us against all claims arising out of or based upon your website. No link(s) may appear on any page on your website or within any context containing content or materials that may be interpreted as libelous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

Limitation on Liability

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our Platform and the use of this Platform (including, without limitation, any warranties implied by law in respect of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill).
